PRESIDENTIAL REGULATION OF THE REPUBLIC OF INDONESIA NUMBER 77 OF 2007 CONCERNING LIST OF LINES OF BUSINESS CLOSED AND OPEN WITH CONDITIONS TO INVESTMENT BY THE GRACE OF THE ALMIGHTY GOD THE PRESIDENT OF THE REPUBLIC OF INDONESIA Considering : that to implement Article 12 paragraph (4) and Article 13 paragraph (1) of the Law Number 25 of 2007 on Investment, it is necessary to stipulate Presidential Regulation concerning List of Lines of Business Closed and Open with Condition to Investment; In view of : 1. Article 4 paragraph (1) of the 1945 Constitution of the Republic of Indonesia; 2. Law Number 25 of 1992 on Cooperation (1992 State Gazette of the Republic of Indonesia Number 116, Supplement to the State Gazette of the Republic of Indonesia Number 3502); 3. Law Number 9 of 1995 on Small Enterprises (1992 State Gazette of the Republic of Indonesia Number 74, Supplement to the State Gazette of the Republic of Indonesia Number 3611); 4. Law Number 32 of 2004 on Regional Government (2004 State Gazette of the Republic of Indonesia Number 125, Supplement to the State Gazette of the Republic of Indonesia Number 4437); 5. Law Number 25 of 2007 on Investment (2007 State Gazette of the Republic of Indonesia Number 67, -1- Supplement to the State Gazette of the Republic of Indonesia Number 4724); 6. Government Regulation Number 44 of 1997 on Partnership (1997 State Gazette of the Republic of Indonesia Number 91, Supplement to the State Gazette of the Republic of Indonesia Number 3718); 7. Government Regulation Number 32 of 1998 on Building and Development of Small Enterprises (1998 State Gazette of the Republic of Indonesia Number 46, Supplement to the State Gazette of the Republic of Indonesia Number 3743); 8. Presidential Regulation Number 76 of 2007 on Criteria and Requirements for Lines of Business Closed and Open with Conditions to Investment; HAS DECIDED: To stipulate : PRESIDENTIAL REGULATION CONCERNING LIST OF LINES OF BUSINESS CLOSED AND OPEN WITH CONDITION TO INVESTMENT Article 1 (1) A closed line of business means certain lines of business which are prohibited to conduct as investment activities. (2) List of closed lines of business as referred to in paragraph (1) shall be as included in the Attachment I hereto. Article 2 (1) An open line of business with conditions means certain lines of business which are able to conduct as investment activities under certain conditions, i.e. lines of business reserved for Cooperative, Micro, Small and Medium Scale Enterprises (UMKMK), lines of business with conditions of partnership, lines of business with conditions of investment, lines of business with conditions of certain location, and lines of business with conditions of special permits. -2- (2) List of lines of business open with conditions as referred to in paragraph (1) shall be as included in Attachment II hereto. (3) The said condition is a requirement for the establishment of business entity under Indonesian legal entity for investors (especially for foreign investors before conducting investment activities in Indonesia). Article 3 (1) This Presidential Regulation shall enforce for (3) years as of the enactment or if deemed necessary, it will subject to review in accordance with the demand and progress of the condition, the stipulation of which is by a Presidential Regulation. (2) In the event that a period of three (3) years elapsed and the new list of lines of business closed and open with conditions has not been regulated, the existing Presidential Regulation governing list of lines of business closed and open with conditions shall remain in force. Article 4 The government shall publicize list of lines of business closed and open with conditions overtly in public area, either by printing or electronic publication accessible from the website of the Indonesian Government. Article 5 By the stipulation of this Presidential Regulation: 1. Provisions as referred to in Article 2 herein shall not be longer applicable for the investment approved prior to the enforcement of this Presidential Regulation. Investment as referred to in this paragraph (1) shall be proven by an approval of investment and its amendment (if any) issued by an authorized institution. 2. This Presidential Regulation shall be fully in force for any change to investment approved in the approval of investment and its amendment (except change to the composition of shareholders in a limitation of the approved maximum percentage of foreign and domestic shares ownership) made by investors referred to in paragraph (1) herein above -3- or the investment company existed at the time of or prior to the enforcement of this Presidential Regulation. Article 6 This Presidential Regulation shall not prejudice any liabilities of investors to comply with terms and conditions prevailed for the said investment activities to conduct business activities issued by the authorized technical institution which covers investment. Article 7 By the enforcement of this Presidential Regulation: 1. Presidential Decree Number 96 of 2000 as amended by Presidential Decree Number 118 of 2000 concerning Lines of Business Closed and Open with Certain Conditions to Investment; and 2. Presidential Decree Number 127 of 2001 concerning Lines/Types of Business Reserved for Small Scale Enterprises and Lines/Types of Business Open for Medium or Large Scales Enterprises with Partnership Conditions shall be declared as no longer applicable.
